CONSIDERING THAT:

1. Zancot Electronics does not function as an authorized reseller for the products featured on the site or included in quotations. Consequently, the products may bear codes from an earlier date or belong to a preceding production compared to those available from the official manufacturer and/or authorized dealers. When placing an order, any specific production years and/or versions must be specified.

2. All mentioned brands, logos, supplier names, and service names are trademarks owned by their respective companies and remain the property of their respective rights holders. The inclusion of logos from third parties does not imply any endorsement or association with the companies holding intellectual and industrial property rights.

3. Zancot Electronics exclusively sells products for industrial automation on this site, supplying items like PLC, HMI , Operator Panels, Motors, Drives, Sensors, Electronic Components, etc.

4. The Seller entertains orders from both consumer and non-consumer Customers. A consumer is defined as any natural person acting for purposes unrelated to any entrepreneurial, commercial, professional, or craft activity. Providing the Sales Tax Number during the purchase process indicates that the purchase is related to entrepreneurial, commercial, craft, or professional activities.

5. Only individuals aged 18 years or older are eligible to purchase products.

6. The premises outlined herein constitute an integral and substantial part of this Contract, and the Customer affirms having read and accepted their contents without reservation.

1. TERMS OF USE

1. The legal conditions governing the Seller-Customer relationship are those in effect on the date of the purchase order transmission and are subject to potential modifications at any time. Any modifications and/or new conditions will be deemed effective upon their publication on the Site.

2. Prior to placing an order and proceeding with payment, the Customer is obligated to meticulously review these terms and conditions. The act of placing an order implies complete awareness and explicit acceptance of both these terms and conditions and the instructions outlined in the purchase procedure.

4. The Customer acknowledges, accepts, and consents that all communications, notifications, information, reports, and any documentation related to the conducted operations concerning Product purchases will be sent to the email address provided during registration or order placement. Additionally, the Customer has the option to download this information on a permanent medium in accordance with the methods and scope specified by the Site.

2. Objective of the Agreement

1. This contract aims to delineate the contractual terms governing electronic commerce sales, exclusively covering products offered on the site https://zancot.com/. These terms are applicable to both Customers classified as Consumers and those without Consumer status.

2. Customers are limited to purchasing products visible on the site during their browsing. It’s crucial to acknowledge that the image accompanying a product’s descriptive sheet serves a purely illustrative purpose and may not precisely represent its characteristics. Discrepancies in color, size, or accessory products in the image may occur due to computer system or device settings used by Customers. Consequently, for the purchase contract, the description of the Product within the description sheet/product and subsequently in the order form transmitted by the Customer will be considered authoritative.

3. The contract is established with the Customer identified by the data entered in the electronically transmitted order form upon acceptance of these General Conditions of Sale.

4. Products available on the site can be delivered within the national territory and in countries explicitly specified on the site (upon selecting the shipment country). Opting for delivery to a user or another person designated by the user with shipping addresses outside the countries explicitly listed on the site renders the purchase process invalid, and the contract is not concluded.

3. PURCHASE PROCESS

1. The purchase can be carried out either through the website https://zancot.com/ or offline. For the latter option, a specific request for a quotation can be made using the “quick quote” form on the website at https://zancot.com/contact-us/. This form allows the customer to inquire about products not available online, providing details such as company name, email, product code, brand, and quantity required. The negotiation will proceed offline, and the contract is considered concluded upon Zancot Electronics’ receipt of the signed order confirmation through official channels (email or other specified methods on the site). Even in offline purchases, these terms and conditions of sale apply, attached to each quotation and duly accepted with an appropriate signature. Prices in the quotation may differ from online prices based on factors such as product type, quantity, and availability.

2. For online purchases, registration is optional. The customer may choose to make purchases on the Seller’s website as a Registered User or as an Unregistered User. Registration simplifies future purchases by automatically displaying billing and delivery information. If registered, the Customer’s billing and delivery information is displayed automatically and can be modified as needed. If not registered, this information must be entered with each purchase.

3. After placing products in the shopping cart, the Customer sees a summary and can choose to confirm the order. To finalize the contract, the Customer is prompted to enter delivery address information and payment method on a single page. After confirming the order, the Seller processes payment. Order receipt is confirmed by a confirmation email sent to the provided email address, containing essential details of the purchase.

4. Registered customers can check the order status under “My Orders” on the website. The Seller may request additional information via email or telephone to fulfill contractual obligations. It is the Customer’s responsibility to provide accurate data in the order form.

5. The Seller reserves the right not to fulfill orders that lack sufficient guarantees of solvency or are incomplete or incorrect, promptly notifying the Customer. In such cases, if the order form is submitted and the price paid, the Seller will refund the amount already advanced.

4. AVAILABILITY AND ORDER CANCELLATION

1. All product orders are contingent on product availability. The Site undergoes constant and automatic updates to ensure maximum correspondence between the Seller’s and Site’s availability. The site does not display real-time quantities available at the time of order due to factors like simultaneous user access and variable product quantity from suppliers, making it impossible to guarantee product allocation.

2. For products subject to price promotions, the Seller reserves the right to accept orders with reduced quantities, provided there is prior notice and acceptance by the Customer; otherwise, the order is considered canceled.

3. The Seller may cancel orders if products are unavailable and will notify the Customer by email, proposing alternatives like a replacement product or other available solutions. If the Customer does not accept the replacement, the previously committed amount is refunded, with notice sent by email. In any case of order cancellation by the Seller, the Seller cannot be held liable for any resulting damages.

4. Customers can also request order cancellation by sending an email to sales@zancot.com. If the Seller has not initiated order preparation, cancellation is free. If the conditions for free cancellation do not apply, the Customer can request cancellation by covering administrative fees, back-order component costs, transport costs, customs charges, collection and currency exchange fees already borne by Zancot Electronics. Additionally, a variable penalty of 40% on the product value subject to cancellation is applied, along with a further decrease in value for returning goods in different conditions from the original sale. The total costs are communicated to the Customer, and cancellation is confirmed upon the Customer’s acknowledgment within 72 hours, after which it is considered tacitly provided. The customer bears the return shipment cost, which must be trackable and insured for goods valued over $500.

5. PRICES AND PAYMENTS

1. All posted prices exclude the applicable Sales Tax. For purchases made as a Consumer, the Sales Tax of the destination country will be calculated and added before payment, while non-Consumer Customers won’t be charged Sales Tax. Once the order status changes to “shipped,” Sales Tax refund requests won’t be accepted through retroactive changes in billing information.

2. We reserve the right to change product prices at any time without prior notice. In case of an erroneous or clearly unrealistic price, the order is canceled, even after initial validation. The price indicated in the order confirmation is the valid one.

3. Product prices on individual sheets exclude shipping costs, which are displayed in the order summary before Customer confirmation. Shipping costs are subject to change.

4. Customers may incur import duties and/or taxes upon reaching the destination country, which cannot be quantified or determined. These costs are the Customer’s responsibility and are non-refundable by Zancot Electronics. The Customer is informed about additional costs during the checkout stage when selecting the destination country.

5. SSL certification and HTTPS protocol ensure secure purchases. Payment methods include PayPal, credit cards through PayPal, bank transfer, credit/debit cards through Stripe. The Seller does not handle the Customer’s credit card information directly.

6. All orders are payable in local currencies, and bank charges are the Customer’s responsibility, even in case of a refund. The Seller is not liable for fraudulent use of credit and prepaid cards by third parties.

7. Upon request, an invoice with the necessary details (valid Sales Tax Number) is issued for each order, sent electronically to the Customer. No changes to the invoice are possible after issuance.

8. For Customers with a history of at least 3 successful orders, the Seller may, at its discretion and upon mutual agreement, allow alternative payment arrangements for new orders, such as payment after 30 days or upon goods’ readiness for shipping.

• We will retain specific data that you submit to the Services to manage their performance and data related to your Service usage. While routine backups of data are performed, you are entirely responsible for all data you transmit or that pertains to any activity you engage in through the Services.

• By using the Services, you agree that we bear no liability for any loss or corruption of such data. You hereby waive any right to take action against us for any loss or corruption of data.
